Customer Terms & Conditions

1.1 Accuracy of Requirements

The Customer must provide:

• • Correct specifications
• • Accurate quantities
• • Clear drawings / samples (if applicable)
• • Correct delivery address

1.2 Binding Order Placement

Once the Customer:

• • Confirms the order, and
• • Pays the token / advance

The order becomes legally binding.

Unilateral cancellation or refusal to proceed without valid reason constitutes breach of contract.

2.1 Advance Payments

• • Customer must pay advance as defined by the Platform
• • Advance confirms seriousness and production commitment
• • Advance is not refundable once production starts

2.2 Final Payment

Final payment is mandatory after delivery & QC approval

Customer cannot delay payment citing:

• • Internal approvals
• • Cash flow issues
• • Third-party delays

Failure to pay final amount = legal default.

3.1 Cancellation Before Production

Token may be partially refundable (Platform discretion)

3.2 Cancellation After Production Start

• • No refund of advance
• • Customer liable for:

• • Manufacturing costs
• • QC costs
• • Any incurred logistics costs

4.1 QC Authority

Customer agrees that:

• • Platform-appointed QC is final
• • QC is conducted objectively
• • Customer cannot override QC decisions

4.2 Rejection Rules

Customer cannot reject goods if:

• • QC has passed
• • Product matches approved specifications

Rejection without valid QC grounds is not permitted.

10.1 Governing Law

All Customer transactions and disputes shall be governed by laws of India.

10.2 Jurisdiction

Any violation of:

• • Payment obligations
• • Cancellation rules
• • QC acceptance
• • Contractual terms

shall be subject to exclusive jurisdiction of Indian courts, as specified by the Platform.
