Essential information for manufacturers working with Manufacture Hub platform

Manufacturer Onboarding Terms & Conditions

For Platform-Based Manufacturing Orders

1. DEFINITIONS

Platform: The digital manufacturing order platform operated by the Company.

Manufacturer: Any individual, firm, LLP, or company onboarding to accept manufacturing orders via the Platform.

Customer: The end client placing a manufacturing order through the Platform.

Order: A confirmed manufacturing request assigned to the Manufacturer.

QC: Quality Check conducted by Platform-appointed personnel.

Manufacturing Cost: The agreed amount payable to the Manufacturer for producing goods.

2. ELIGIBILITY & ONBOARDING

2.1 Manufacturer must provide:

• Valid business registration documents
• GST details (if applicable)
• Factory / unit address
• Production capability details
• Bank account details

2.2 Legal Consequence of Non-Compliance

Submission of false, misleading, forged, or incomplete information shall constitute a material breach and may result in:

• Immediate suspension or termination of the Manufacturer account
• Withholding or recovery of payments
• Initiation of legal proceedings under applicable Indian laws

3. ORDER ACCEPTANCE

3.1

Orders are assigned through the Platform's bidding or assignment system.

3.2 Manufacturer must:

• Carefully review all specifications and requirements
• Digitally accept the order before commencing production

3.3 Legal Binding Nature

Once accepted, the order becomes legally binding. Failure to honour an accepted order shall be treated as breach of contract, actionable under Indian Contract Act, 1872, and other applicable laws.

7. PAYMENT TERMS

7.1 Payments are milestone-based:

• Partial payments during production
• Final payment only after QC pass and approval

7.2 Conditional Payments

All payments are conditional, not guaranteed. Non-compliance with QC or delivery terms gives the Platform the right to withhold or recover payments under Indian law.

13. GOVERNING LAW & JURISDICTION

This Agreement, and any violation of any clause herein, shall:

• Be governed by laws of India
• Be subject to exclusive jurisdiction of Indian courts, as specified by the Platform

14. ACCEPTANCE

By onboarding and accepting orders on the Platform, the Manufacturer confirms that they have:

• Read
• Understood
• Agreed

to these Terms & Conditions, and acknowledge that breach of any individual term may result in legal action under Indian laws.

1. DEFINITIONS

Platform: The digital manufacturing order platform operated by the Company.
